Terms of Service

The agreement between you and Tokenless. Please read it before creating an account.

These Terms of Service (the “Terms”) govern your access to and use of Tokenless (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. The Service

Tokenless provides an OpenAI-compatible API that lets you send requests to third-party AI models and pay for usage from a prepaid balance, billed at a discount to the models' standard list prices. We are an independent reseller and are not affiliated with, endorsed by, or acting on behalf of any model provider. Model availability, capabilities, and pricing may change as the underlying providers change theirs.

2. Eligibility and accounts

  • You must be at least 16 years old and able to form a binding contract.
  • You must provide accurate account information and a working, permanent email address. Disposable or temporary email addresses are not permitted.
  • You are responsible for maintaining the confidentiality of your API keys and for all activity that occurs under your account. API keys are shown once at creation; store them securely and rotate them if exposed.
  • Notify us promptly of any unauthorized use of your account.

3. Acceptable use

You agree not to use the Service to:

  • Violate any applicable law, or the usage policies of the upstream model providers whose models you access through us.
  • Generate or distribute content that is illegal, including child sexual abuse material, or that facilitates violence, harassment, fraud, or the creation of malware.
  • Infringe the intellectual property or privacy rights of others.
  • Attempt to disrupt, reverse-engineer, or gain unauthorized access to the Service or its infrastructure, or circumvent rate limits, quotas, or our sign-up and abuse controls.
  • Create multiple or automated accounts to abuse promotional credit, or otherwise defraud us or other users.
  • Resell or redistribute access in a manner that violates provider terms.

We may suspend or terminate accounts that violate these rules, and we may report unlawful activity to the appropriate authorities.

4. Billing and payments

  • Prepaid balance. You add funds to a prepaid balance and usage is drawn from it. Each request is metered by token usage and charged at the stated discounted rate. Balances and charges are tracked in fractional-cent units for accuracy.
  • Payments. Payments are processed by Stripe. By adding funds you authorize the charge. If you enable auto-reload, you authorize us to charge your saved payment method automatically when your balance falls below the threshold you set, until you disable it.
  • Welcome credit. New accounts may receive a small promotional credit. It is limited to one per person, is for API usage only, is non-transferable and has no cash value, and may be withheld or revoked in cases of abuse.
  • Refunds. Usage that has already been consumed is non-refundable. Unused prepaid balance may be refunded at our reasonable discretion; contact support to request it.
  • Price changes. We may change pricing or the discount prospectively. Changes do not affect balance already spent.
  • Taxes. Prices may exclude applicable taxes, which are your responsibility.

5. Availability and third-party models

The Service is provided on an “as is” and “as available” basis. We do not guarantee uninterrupted availability, and the underlying models are operated by third parties and may be modified, rate-limited, deprecated, or made unavailable at any time. Model outputs may be inaccurate, incomplete, or offensive; you are responsible for evaluating outputs before relying on them and must not treat them as professional (legal, medical, financial, or other) advice.

6. Intellectual property

As between you and Tokenless, you retain your rights in the inputs you submit and the outputs you receive, subject to the upstream providers' terms. The Tokenless name, brand, and software are our property and may not be used without permission.

7. Disclaimers

To the fullest extent permitted by law, Tokenless disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty regarding the accuracy, reliability, or availability of the Service or model outputs.

8. Limitation of liability

To the fullest extent permitted by law, Tokenless will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill. Our total liability arising out of or relating to the Service will not exceed the greater of the amount you paid us in the three months preceding the claim or USD $100.

9. Indemnification

You agree to indemnify and hold harmless Tokenless from any claims, damages, and expenses arising out of your use of the Service, your content, or your violation of these Terms or the rights of others.

10. Suspension and termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Service or its users. On termination, your right to use the Service ends; unused prepaid balance is handled as described in the billing section.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected in the “last updated” date above and, where appropriate, communicated by email. Continued use after changes take effect constitutes acceptance.

12. Governing law

These Terms are governed by the laws of the jurisdiction in which Tokenless is established, without regard to conflict-of-laws principles. The courts of that jurisdiction will have exclusive jurisdiction over any disputes, except where applicable law grants you the right to bring proceedings elsewhere.
